TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS

By accessing and using www.areyouokbaby.in (the "Website"), the AreYouOkBaby mobile applications (Caller App and Listener App), and the services provided by AreYouOkBaby, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please discontinue use of the Website and applications immediately.


2. INTELLECTUAL PROPERTY

The Website, AreYouOkBaby concept, brand name, logo, content, design, mobile applications, and all related materials are the exclusive intellectual property of Vibha Listens Private Limited, a Chennai-based technology and mental wellness company registered under the Companies Act, 2013. All rights are reserved under applicable copyright laws, including but not limited to the Copyright Act, 1957 and the Information Technology Act, 2000. No part of this Website, applications, or their content may be reproduced, distributed, transmitted, or used without prior written consent from Vibha Listens Private Limited.


3. NATURE OF SERVICES

AreYouOkBaby provides ONLY patient listening services. Our services are strictly limited to:

  • Providing trained listeners to receive calls from individuals seeking emotional support
  • Offering a supportive, judgment-free listening environment during phone/VoIP conversations
  • Creating a safe space for callers to express themselves
  • Nothing beyond patient listening and emotional support

WE DO NOT PROVIDE:

  • Medical advice, diagnosis, or treatment
  • Prescription medications or medical products
  • Therapeutic interventions or counselling services
  • Mental health treatment or psychiatric services
  • Any products or services other than listening support

4. PLATFORM OPERATIONS & AUTHORISED PRESENCE

As of February 04, 2026, AreYouOkBaby:

  • Does NOT endorse, support, or operate any franchise operations
  • Has NOT appointed any third-party entities or individuals to represent the service
  • Operates ONLY from Chennai, Tamil Nadu – no branch offices exist elsewhere
  • Any unauthorised representation or franchise claims are strictly prohibited and legally actionable under the Indian Penal Code and Information Technology Act, 2000

5. LISTENER TERMS & CONDITIONS

5.1 Definition of Trained Listener

"Trained Listeners" refers to individuals who have successfully completed the following process:

  1. Phase 1 Interview conducted by Vibha Listens Private Limited
  2. One-day mandatory training programme
  3. Assessment and certification under Vibha's Professional Listening Certification Programme
5.2 Listener Certification Clarifications

IMPORTANT:

  • We do NOT provide degrees, diplomas, or professionally recognised certifications
  • Our listeners are NOT qualified to practice privately as healers, therapists, or counsellors
  • Listeners are NOT authorised to prescribe, diagnose, or provide medical consultation
  • Training and certification are limited to our internal listening protocols only
  • The certificate issued by Vibha Listens Private Limited is valid ONLY for operating on the AreYouOkBaby platform
5.3 Listener Availability Requirements

To be eligible for the Minimum Platform Engagement Fee, a listener must:

  • Toggle their status to "AVAILABLE" in the Listener App
  • Maintain a minimum of 40 (Forty) hours of AVAILABLE status per calendar month
  • Availability hours are tracked automatically by the platform
  • Partial months will be calculated on a pro-rata basis for new listeners

Note: Simply being "Available" does not guarantee calls. The platform engagement fee is compensation for keeping oneself available and ready to receive calls.

5.4 Listener Revenue Sharing Model

Listeners shall receive compensation as follows:

Component Details
Platform Engagement Fee Fixed minimum fee paid monthly to listeners who complete 40+ hours of "Available" status
Call Revenue Share 20% (Twenty Percent) of the subscription/call charges paid by the Caller for each call successfully attended by the Listener

Payment Terms:

  • Revenue calculations are based on completed calls only
  • Payments are processed on a monthly cycle
  • Listeners must maintain valid bank account details in the app for disbursement
  • TDS (Tax Deducted at Source) shall be applicable as per Income Tax Act, 1961
5.5 Call Handling Rules for Listeners

MANDATORY PROTOCOL – Once a call is accepted and attended by a Listener:

  1. The Listener CANNOT disconnect or terminate the call under any circumstances
  2. ONLY the Caller/Speaker has the authority to disconnect or end the call
  3. The Caller may disconnect at any time – before, during, or after the call is picked up
  4. If a Listener forcibly disconnects (via app manipulation, network interference, or any other means), it shall be treated as a violation of Terms and may result in:
    • Forfeiture of revenue share for that call
    • Warning or suspension from the platform
    • Permanent termination of Listener account for repeated violations

Exception: In case of genuine technical failures (network drops, app crashes), the Listener must report the incident within 24 hours to the support email - support@areyouokbaby.in

5.6 Listener Code of Conduct

Listeners agree to:

  • Maintain complete confidentiality of all caller information
  • Provide non-judgmental, empathetic listening
  • Refrain from offering unsolicited advice, opinions, or solutions
  • Never solicit personal information, money, or favours from callers
  • Never attempt to contact callers outside the platform
  • Report any safeguarding concerns through proper channels

6. CALLER TERMS & CONDITIONS

6.1 Caller Rights

Callers have the right to:

  • Remain completely anonymous during calls
  • Disconnect the call at any time without explanation
  • Rate and provide feedback on listener performance
  • Request a different listener for future calls
  • Access call history and session summaries (without recordings)
6.2 Caller Responsibilities

Callers acknowledge and agree that:

  • The service is NOT a substitute for professional medical or mental health care
  • Emergency situations require immediate professional intervention (dial 112 or 108)
  • Callers should consult qualified healthcare providers for medical concerns
  • The service provides supplementary emotional support, not professional treatment
  • Misuse of the platform (abusive language, harassment of listeners, prank calls) may result in account suspension
6.3 Call Disconnection Rights
  • Before call is picked up: Caller may cancel/disconnect at any time without charge
  • After call is connected: Only the Caller has the authority to disconnect the call
  • Charges: Applicable as per the session duration selected and platform pricing

7. CALL RECORDING POLICY

IMPORTANT DISCLOSURE – PLEASE READ CAREFULLY

7.1 Recording Notice

All calls made through the AreYouOkBaby platform are recorded.

By using our services (as a Caller or Listener), you expressly consent to the recording of all voice communications on the platform.

7.2 Purpose of Recording

Calls are recorded strictly for the following purposes:

Training & Development To identify areas for listener training and skill enhancement
Dispute Resolution To investigate and resolve complaints from Callers or Listeners
Regulatory Compliance To comply with TRAI (Telecom Regulatory Authority of India) guidelines and applicable telecom regulations
Legal Requirements To comply with lawful requests from law enforcement or judicial authorities
7.3 Recording Safeguards
  • All recordings are stored on secure, encrypted servers
  • Access to recordings is strictly limited to authorised personnel
  • Recordings are NOT shared with any third parties except as required by law
  • Recordings are NOT used for marketing, advertising, or commercial purposes
  • Recordings shall be retained as per applicable data retention laws and deleted thereafter
7.4 TRAI Compliance

This recording policy is implemented in accordance with:

  • TRAI regulations on telecom services
  • Information Technology Act, 2000
  • Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011
  • Digital Personal Data Protection Act, 2023

8. LIMITATION OF LIABILITY

AreYouOkBaby and Vibha Listens Private Limited shall NOT be held responsible for:

  • Any mental trauma, distress, or psychological impact experienced by Callers
  • Imagined, hallucinated, or perceived effects during or after calls
  • Any coincidental experiences or sensations reported by users
  • Any undesirable outcomes resulting from the listening sessions
  • Technical failures, network issues, or service interruptions beyond our control
  • Actions or statements made by Listeners that violate our guidelines

REASON: We do not prescribe methods, medicines, therapeutic exercises, or treatment protocols. Our service is limited to listening support only.


9. INDEMNIFICATION

Users (both Callers and Listeners) agree to indemnify, defend, and hold harmless Vibha Listens Private Limited, its directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Violation of these Terms and Conditions
  • Misuse of the platform
  • Any third-party claims related to user conduct on the platform

10. JURISDICTION AND GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, including but not limited to:

  • The Indian Contract Act, 1872
  • The Information Technology Act, 2000
  • The Consumer Protection Act, 2019
  • The Digital Personal Data Protection Act, 2023

The exclusive jurisdiction for any disputes arising from these terms or the use of our services shall be the courts of Chennai, Tamil Nadu, India.

13. SEVERABILITY

  • Credit/debit card numbers (handled by payment gateways)
  • Biometric data
  • Caste, religion, or political affiliation

3. HOW WE USE YOUR INFORMATION

  • Processing payments and disbursing listener earnings
  • Tracking listener availability and performance
  • Quality assurance and service improvement
